Research use only — not for human or veterinary use
All materials supplied by Amino20 Labs are laboratory reagents intended exclusively for in vitro research by qualified laboratories. They are not drugs, dietary supplements, cosmetics, or food. They are not approved by the U.S. Food and Drug Administration for any use in humans or animals, and no product sold by Amino20 Labs may lawfully be administered to a human or an animal.
These Terms govern access to this site and all purchases from Amino20 Labs (“Amino20 Labs,” “we,” “us”). By creating an account or placing an order, the applicant and the organization on whose behalf they act (together, “Buyer”) accept these Terms.
1. Eligibility and account verification
Amino20 Labs sells only to verified laboratories. There is no consumer sales channel and no guest checkout. To purchase, Buyer must hold an account in approved status.
Approval requires that Buyer submit accurate organization details, contact information, a laboratory shipping address that is not a residence, and, for independent laboratories, a business registration number (EIN or state registration). Applications are evaluated against our verification checks; those that do not clear automatically are reviewed by a person. Meeting the stated criteria does not entitle any applicant to an account.
Buyer must be at least 21 years of age. Amino20 Labs may request additional documentation at any time — including proof of business registration, evidence of laboratory facilities, or institutional confirmation — and may suspend or close an account pending its receipt.
Amino20 Labs may refuse, limit, or cancel any order, and may suspend or terminate any account, at its sole discretion and without liability, including where ordering patterns, quantities, destinations, or other information are inconsistent with laboratory research use.
2. Permitted use; prohibited uses
Buyer represents, warrants, and covenants that all materials are:
- acquired and used solely for in vitro laboratory research by qualified personnel in an appropriate laboratory facility;
- handled, stored, and disposed of in compliance with all applicable federal, state, and local law, including the OSHA Hazard Communication Standard, 29 CFR 1910.1200.
Buyer shall not, and shall not permit any third party to:
- administer any material to a human being or to an animal, or use it in or on the human body by any route;
- resell, distribute, repackage, relabel, or transfer any material for administration to humans or animals;
- supply any material to a compounding pharmacy, outsourcing facility, clinic, medical practice, or other person for use in preparing a drug for administration;
- use any material in the manufacture of a drug, supplement, cosmetic, or food product;
- represent, in any medium, that materials sourced from Amino20 Labs are fit or intended for human or veterinary use, or make any claim that they diagnose, treat, cure, mitigate, or prevent disease;
- export or re-export any material in violation of applicable law, or resell without Amino20 Labs' prior written consent.
Buyer acknowledges that these restrictions are a material condition of sale and that Amino20 Labs would not sell to Buyer without them. Buyer accepts sole responsibility for all use of materials after delivery and for the conduct of its personnel.
3. Accuracy of information
Buyer represents that all information provided during account creation and ordering is true, accurate, and complete, and that the person creating the account is authorized to bind the organization named. Buyer will keep this information current.
Providing false or misleading information — including misrepresenting an organization, its address, its registration status, or the intended use of materials — is a material breach. Amino20 Labs may terminate the account, cancel pending orders, refuse future sales, and retain records of the submission.
4. Ordering, pricing, and payment
An order is an offer to purchase and is accepted only when Amino20 Labs confirms shipment. Prices, availability, and specifications may change without notice, and Amino20 Labs may correct pricing or typographical errors and cancel affected orders. All amounts are in United States dollars.
Buyer is responsible for all applicable taxes except where a valid exemption certificate has been provided and accepted. Payment terms are as stated at checkout or on an accepted purchase order.
Card authorization. By placing a card order, Buyer authorizes Amino20 Labs and its payment processor to charge the payment method provided for the full order total, including products, shipping, and tax. Buyer represents that it is the authorized holder of the card or is permitted by the cardholder to use it, and that the billing details provided match the card's records. An authorization may appear as a pending hold before it settles; if an order is refused or cancelled, release of that hold is controlled by the issuing bank, not by Amino20 Labs.
Card data. Card numbers are collected and processed by a third-party, PCI-compliant payment processor. Amino20 Labs does not receive or store full card numbers. We retain limited payment metadata only — such as the last four digits, card brand, authorization result, and the processor's transaction reference.
Failed or reversed payment. If a payment is declined, returned, or reversed after an order is placed, Amino20 Labs may cancel the order, withhold shipment, suspend the account, and recover the amount owed together with any costs or fees incurred.
4a. ACH / eCheck authorization
Where ACH/eCheck is offered, each time Buyer places an order using that method, Buyer authorizes Amino20 Labs to initiate a single electronic debit to the bank account provided, in the amount of that order, on the order date. Buyer confirms that the transactions it authorizes comply with applicable law.
Buyer further authorizes Amino20 Labs to initiate one-time debit and/or credit entries of less than one dollar for the sole purpose of validating the bank account provided, and to initiate a corresponding credit to recover any such micro-entry.
Timing. ACH is a deferred payment method. The order is placed when the debit is initiated, but funds take one to two business days to settle and Amino20 Labs does not ship until settlement. Entries submitted after 2:00 p.m. Eastern are applied the next business day. If a debit is returned or fails, the order will not ship and may be cancelled, and Buyer remains responsible for the amount owed plus any returned-item fee Amino20 Labs incurs.
Buyer should retain a copy of this authorization for its records.
5. Shipping, title, and inspection
Amino20 Labs ships within the United States to verified, non-residential laboratory addresses only. Shipping destination changes require re-verification.
Risk of loss passes on delivery to the carrier. Buyer must inspect each shipment promptly and report shortages, damage, or discrepancies within ten (10) days of delivery; claims made after that period are waived.
6. Documentation; specifications
Materials are supplied with lot-specific documentation, including a certificate of analysis identifying the testing laboratory and a safety data sheet. Documentation describes the material tested and is not a representation that the material is suitable for any particular research purpose. Buyer is responsible for confirming suitability, for independent verification where its protocol requires it, and for any required institutional approvals.
7. Returns, refunds, and chargebacks
Because these materials are temperature-sensitive and their handling cannot be verified once they leave our custody, sales are final and shipped materials are not accepted for return or resale. Amino20 Labs will, at its option, replace or refund material that is demonstrably non-conforming, damaged in transit, or shipped in error, on the terms and within the claim window set out in the Refund & Return Policy, which forms part of these Terms.
Payment disputes. Buyer agrees to contact Amino20 Labs and use the claim process before initiating a chargeback or payment dispute. A dispute filed in place of that process may result in suspension of the account and refusal of future orders, and Amino20 Labs may submit order, verification, delivery, and attestation records in response. Nothing here limits any right Buyer has under applicable card-network rules or law.
8. No warranty
Except as expressly stated in Section 7, materials are provided “AS IS.” AMINO20 LABS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. No warranty of any kind is made regarding safety or suitability for use in or on humans or animals, such use being prohibited under these Terms.
9. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AMINO20 LABS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR RESEARCH, ARISING OUT OF OR RELATING TO THE MATERIALS OR THESE TERMS. AMINO20 LABS' TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE MATERIAL GIVING RISE TO THE CLAIM.
Nothing in this Section limits liability that cannot be limited under applicable law.
10. Indemnification
Buyer shall indemnify, defend, and hold harmless Amino20 Labs and its officers, employees, and agents from and against all claims, damages, losses, penalties, and expenses (including reasonable attorneys' fees) arising out of or relating to Buyer's use, handling, storage, transfer, or disposal of materials, Buyer's breach of these Terms, or any administration of materials to a human or animal by Buyer or any person receiving materials through Buyer.
11. Communications and SMS
Buyer consents to receive transactional communications about applications, orders, and shipments at the contact details provided.
Marketing text messages are optional and are never a condition of purchase. Where Buyer opts in, message frequency varies (roughly up to 10 per month); message and data rates may apply. Reply STOP to cancel or HELP for help. Because messages are sent from a single number, replying STOP cancels all texts, including order updates. Consent may also be withdrawn from account settings.
12. Privacy and records
Personal data is handled as described in our Privacy Policy. Buyer acknowledges that Amino20 Labs records verification information and research-use confirmations — including timestamp, IP address, and user agent — and retains them as business records, including for demonstrating compliance to regulators, auditors, and payment providers.
13. Compliance with law
Buyer is responsible for compliance with all laws applicable to its acquisition, possession, and use of the materials, including any institutional, state, or local requirements and any licensing or registration obligations that may apply to its facility. Amino20 Labs makes no representation that any material is lawful to possess or use in any particular jurisdiction.
14. Changes to these Terms
Amino20 Labs may update these Terms. Material changes will be posted with a revised effective date, and continued use of an account after that date constitutes acceptance. The Terms in force at the time an order is accepted govern that order.
14a. Website use and intellectual property
Use of this site is governed by these Terms and the Privacy Policy. Buyer may view, download, and print material from the site for its own internal, non-commercial reference, provided it is not modified and all proprietary notices are preserved. Buyer may not otherwise reproduce, distribute, transmit, publish, license, or sell any content, product data, or documentation obtained from the site without Amino20 Labs' written consent.
All trademarks, logos, catalog numbering, page content, and documentation on this site are the property of Amino20 Labs or its licensors. Third-party names are used only for identification and imply no affiliation or endorsement.
Amino20 Labs does not warrant that the site will be available uninterrupted or error-free, and may modify, suspend, or discontinue any part of it at any time. Any links to third-party sites are provided for convenience; Amino20 Labs does not control and is not responsible for their content.
14b. Regulatory status of the supplier
Amino20 Labs is a chemical supplier. It is not a pharmacy, is not a compounding pharmacy under section 503A of the Federal Food, Drug, and Cosmetic Act, and is not an outsourcing facility under section 503B. It does not compound, dispense, or prescribe, and provides no medical, veterinary, or pharmacy services.
No statement on this site has been evaluated by the U.S. Food and Drug Administration. Nothing on this site is a claim that any product diagnoses, treats, cures, mitigates, or prevents any disease.
15. Governing law; disputes; arbitration
These Terms are governed by the laws of the State of Oregon, without regard to conflict-of-laws principles.
Informal resolution first. Before filing any claim, the parties will attempt to resolve the dispute informally by written notice describing the claim and the relief sought, allowing thirty (30) days to resolve it.
Binding arbitration. Any dispute not resolved informally shall be settled by binding arbitration administered in Oregon under the rules of a recognized arbitration body, before a single arbitrator, and judgment on the award may be entered in any court of competent jurisdiction. Either party may bring an individual action in small-claims court, and either party may seek injunctive relief in court to protect intellectual property or confidential information.
Class-action waiver. Disputes will be arbitrated only on an individual basis. Neither party may bring a claim as a plaintiff or class member in any class, consolidated, or representative proceeding, and the arbitrator may not consolidate claims. If this waiver is held unenforceable as to a particular claim, that claim proceeds in court and the remainder stays in arbitration.
15a. Force majeure
Amino20 Labs is not liable for any delay or failure to perform caused by circumstances beyond its reasonable control, including supply shortages and backorders, carrier and customs delays, lost shipments, labor disruption, utility or network failure, natural events, or governmental action. Amino20 Labs is not obliged to give notice of such delays, and Buyer is responsible for arranging alternatives and for any cost of doing so.
16. General
These Terms, together with the research-use policy, are the entire agreement between the parties regarding their subject matter and supersede any Buyer purchase-order terms. If any provision is held unenforceable, the remainder continues in effect. Failure to enforce a provision is not a waiver. Sections 2, 3, and 8 through 13 survive termination.
